These terms of use are entered into between You and HYStech LLC (“we,” “us,” or “Share My Clinic”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, “Terms of Use”), govern your access to and use of our website at sharemyclinic.com, including any content, functionality, and services offered on or through it (collectively, the “Website” or the “Platform”).
Please read these Terms of Use carefully before you use the Website. By using the Website, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated by reference. If you do not agree, do not use the Website.
The Website is hosted and operated by us on our own behalf.
Changes to the Terms of Use
We may revise these Terms of Use at any time in our sole discretion, without notice. All changes are effective immediately when posted and apply to all access to, and use of, the Website afterward. However, changes to the dispute resolution provisions in Governing Law and Jurisdiction will not apply to any dispute for which the parties have actual notice on or before the date the change is posted.

To access or use the Website, you must be 18 years of age or over and, where you register as a provider or clinic operator, you must be a duly licensed healthcare professional or an authorized representative of a licensed healthcare entity. It is a condition of your use of the Website that all information you provide is correct, current, and complete. You agree that all information you provide is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with that policy.
You must treat your username, password, and any other security information as confidential and must not disclose them to any other person or entity. Your account is personal to you (or, for an organizational account, to your authorized users), and you agree not to provide any other person with access using your credentials. You agree to notify us immediately of any unauthorized access to or use of your credentials or any other breach of security, and to exit from your account at the end of each session. Use caution when accessing your account from a public or shared device.
We may disable any username, password, or other identifier at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.
Intellectual Property Rights
The Website, including its entire contents, features, and functionality (including all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), is owned by us, our licensors, or other providers of such material, and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
These Terms of Use permit you to use the Website only for the purposes for which it is made available—that is, to list, discover, arrange, and manage shared clinic resources—and, where applicable, for your internal business use as a healthcare provider or clinic operator. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Website (the “Materials”), except as incidental to ordinary use of the Website’s features, or as we otherwise expressly authorize.
You must not:
- Modify copies of any Materials.
- Use any illustrations, photographs, video or audio sequences, or graphics separately from the accompanying text.
- Delete or alter any copyright, trademark, or other proprietary rights notices.
- Access or use any part of the Website, or any services or Materials, in a manner not authorized by these Terms of Use.
If you use the Website in breach of these Terms of Use, your right to use the Website ends immediately, and you must, at our option, return or destroy any copies of the Materials you have made. No right, title, or interest in the Website or its content is transferred to you. All rights not expressly granted are reserved.
Trademarks
Our name, our trademarks, and all related names, logos, product and service names, designs, and slogans are trademarks of ours or our licensors. You must not use these without our prior written permission. All other marks on the Website are trademarks of their respective owners.
Prohibited Uses

- To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including “junk mail,” “chain letters,” “spam,” or similar solicitation.
- To impersonate or attempt to impersonate us, our employees, another user, or any other person or entity, or to misrepresent your professional license, credentials, or affiliation.
- To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or that, as determined by us, may harm us or our users or expose them to liability.
Additionally, you agree not to:
- Use the Website in any manner that could disable, overburden, damage, or impair it, or interfere with any other party’s use.
- Use any robot, spider, scraper, or other automated means to access the Website or to access, collect, or copy any listings, provider data, or other content, except that generally available search engines may index publicly accessible pages in accordance with our robots.txt file.
- Use any manual process to monitor or copy any Materials for any purpose not expressly authorized, without our prior written consent.
- Use any device, software, or routine that interferes with the proper working of the Website.
- Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Website, the server on which it is stored, or any connected server, computer, or database.
- Attack the Website via a denial-of-service or distributed denial-of-service attack.
- Use any listing, provider, or pricing data to create, augment, or operate a competing clinic-sharing or provider-listing service, or to train, develop, or improve any machine learning model or artificial intelligence system.
User Contributions
The Website may contain listings, profiles, messaging, reviews, ratings, forums, and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display, or transmit content or materials (collectively, “User Contributions”). User Contributions include clinic and resource listings, availability and pricing, descriptions, photographs, credentials, and communications with other users.
All User Contributions must comply with the Content Standards in these Terms of Use.
Any User Contribution you post will be considered non-confidential and non-proprietary, except for any Protected Health Information (PHI), which must not be posted through public-facing Interactive Services at all (see Healthcare Compliance below). By providing any User Contribution, you grant us and our licensees, successors, and assigns a non-exclusive, royalty-free, worldwide right and license to use, reproduce, modify, perform, display, distribute, and otherwise disclose such material to operate and promote the Website.
You represent and warrant that:
- You own or control all rights in and to your User Contributions and have the right to grant the license above.
- All of your User Contributions comply with these Terms of Use.
- Any clinic, resource, availability, credential, license, or pricing information you post is accurate, current, and not misleading, and you have authority to offer what you list.
You understand and acknowledge that you, not we, are responsible for your User Contributions and for their legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Contributions.
Monitoring and Enforcement; Termination
We have the right to:
- Remove or refuse to post any User Contribution for any or no reason in our sole discretion.
- Take any action with respect to any User Contribution that we deem necessary or appropriate, including if we believe it violates the Terms of Use (including the Content Standards), infringes any right of any person or entity, threatens the personal safety of users or the public, or could create liability for us.
- Disclose your identity or other information to any third party who claims that material you posted violates their rights.
- Take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Website.
- Terminate or suspend your access to all or part of the Website for any or no reason, including any violation of these Terms of Use.
We have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS US, OUR LICENSORS, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN DURING, OR AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.
However, we (a) cannot and do not undertake to review material before it is posted, and (b) cannot ensure prompt removal of objectionable material after posting. We assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party.
Content Standards
These content standards apply to all User Contributions and use of Interactive Services. User Contributions must comply in their entirety with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:
- Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
- Promote sexually explicit material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
- Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other right of any person.
- Violate the legal rights (including rights of publicity and privacy) of others, or contain any material that could give rise to civil or criminal liability.
- Contain or expose any Protected Health Information, patient identifiers, or confidential medical records through any public-facing feature of the Website.
- Be likely to deceive any person, including by misstating a license, credential, certification, or the nature, condition, or availability of any clinic resource.
- Promote any illegal activity, or advocate, promote, or assist any unlawful act, including any unlawful fee-splitting, kickback, or referral arrangement.
- Impersonate any person or misrepresent your identity, license, or affiliation.
- Give the false impression that they emanate from or are endorsed by us.
Copyright Infringement
If you believe that any User Contribution violates your copyright, email us at [email protected] for instructions on sending a notice of copyright infringement. It is our policy to terminate the accounts of repeat infringers.
Clinic Resource Sharing; Role of the Platform

The Platform is a neutral venue. The Website provides tools that allow licensed healthcare providers and clinic operators (“Users”) to list, discover, and arrange the shared use of clinic space, equipment, staff, and appointment capacity (“Shared Resources”). We are not a party to any agreement, arrangement, lease, sublease, license, or staffing relationship between Users. We do not own, operate, control, inspect, or manage any clinic, facility, or Shared Resource listed on the Website, and we do not provide healthcare services.
No verification. We do not verify, endorse, or guarantee the identity, licensure, credentials, qualifications, insurance, or fitness of any User, nor the accuracy, legality, condition, safety, or availability of any Shared Resource or listing. Listings are provided by Users “as is.” Users are solely responsible for independently verifying the licensure, credentials, insurance, and suitability of any counterparty and of any Shared Resource before entering into any arrangement.
Arrangements are between Users. Any agreement to share, lease, sublease, license, or staff a clinic resource is solely between the Users involved. Users are solely responsible for negotiating, documenting, performing, and enforcing the terms of their own arrangements, including all financial terms, scheduling, access, liability allocation, insurance, indemnities, and termination. We strongly recommend Users execute their own written agreements; any template or facilitation we may offer is provided for convenience only, without warranty, and is not legal advice.
Assumption of risk. Users assume all risks associated with listing, accessing, occupying, or using any clinic, facility, equipment, or staff, and with any in-person interaction arising from use of the Website.
Provider Eligibility, Credentialing, and Insurance

By registering as a provider or clinic operator, you represent and warrant on an ongoing basis that you (and each individual acting under your account):
- Hold, and will maintain, all licenses, registrations, certifications, and authorizations required to practice and to offer or use the Shared Resources you list or access, in good standing and free of any restriction, suspension, exclusion, or pending disciplinary action.
- Are not, and have never been, excluded, debarred, or sanctioned under any federal or state healthcare program (including the OIG List of Excluded Individuals/Entities and the GSA System for Award Management).
- Maintain, and will keep in force, professional liability (malpractice) and general liability insurance in amounts adequate for your activities and as required by law and by any counterparty.
- Will comply with all applicable laws governing your practice, your facility, and any arrangement entered into through the Website.
You agree to provide reasonable evidence of the foregoing upon our request, and to notify us promptly if any of these representations ceases to be true. We may, but are not obligated to, screen, suspend, or remove any User or listing.
Healthcare Regulatory Compliance (Anti-Kickback, Stark, Fee-Splitting)

Arrangements to share clinic space, equipment, staff, or capacity among healthcare providers may implicate federal and state laws including the federal Anti-Kickback Statute, the physician self-referral law (Stark Law), state fee-splitting and anti-kickback statutes, and the corporate practice of medicine doctrine. You are solely responsible for ensuring that any arrangement you enter into through the Website complies with all such laws, including, where applicable, that compensation is set in advance at fair market value, is commercially reasonable, does not vary with or take into account the volume or value of referrals, and is memorialized in a signed written agreement of appropriate duration.
We do not provide legal, regulatory, tax, or compliance advice, and nothing on the Website should be relied upon as such. We make no representation that any listing, pricing, or arrangement complies with applicable law. You should obtain advice from qualified counsel before entering into any arrangement.
HIPAA and Protected Health Information

The Website is not intended to receive, store, or transmit Protected Health Information (“PHI”) as defined under HIPAA, and you must not submit PHI through any listing, profile, message, review, or other Interactive Service. To the extent your use of Shared Resources arranged through the Website involves the creation, receipt, maintenance, or transmission of PHI between or among Users, that is a matter solely between the Users involved, who are responsible for executing any required Business Associate Agreements and for implementing all safeguards required under HIPAA and applicable state privacy law. We are not a covered entity or business associate with respect to any such PHI, and we disclaim any responsibility for Users’ compliance with HIPAA or other privacy laws in connection with their arrangements.
Bookings, Fees, and Payments

(Include only if the Platform handles money.) If the Website facilitates bookings or payments for Shared Resources: all fees, rates, and charges are set by the listing User unless otherwise stated. We may charge service or transaction fees, which will be disclosed before you incur them. Payments may be processed by a third-party payment processor subject to its own terms; we are not responsible for the acts or omissions of any payment processor. Except as expressly stated, all fees are non-refundable. You are responsible for all taxes associated with your arrangements. If the Platform does not process payments, delete this section and state that all financial terms are handled directly between Users.
No Endorsement
Inclusion of any User, clinic, or Shared Resource on the Website does not constitute an endorsement, recommendation, referral, or verification of any User’s qualifications, credentials, competence, quality of care, facilities, or services. Users are solely responsible for evaluating and selecting counterparties and resources.
No Medical Advice or Provider-Patient Relationship
The Website is provided for informational and resource-coordination purposes only. Use of the Website does not create a doctor-patient relationship, healthcare provider-patient relationship, or any other professional relationship between you and us. The Website does not constitute medical, legal, or professional advice.
Reliance on Materials Posted
The Materials presented on or through the Website are made available solely for general informational purposes. We do not warrant the accuracy, completeness, or usefulness of the Materials. Any reliance you place on the Materials is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on the Materials by you or any other visitor.
This Website may include content provided by third parties, including Materials provided by other Users. All statements and opinions expressed in such Materials, other than content provided by us, are solely the responsibility of the person or entity providing them and do not necessarily reflect our opinion. Termination
The obligations and liabilities of the parties incurred prior to the termination date will survive termination for all purposes. These Terms of Use are effective unless and until terminated by either you or us. You may terminate at any time by notifying us that you no longer wish to use our services, or by ceasing to use the Website. If in our sole judgment you fail, or we suspect you have failed, to comply with any term of these Terms of Use, we may terminate at any time without notice; you will remain liable for all amounts due up to and including the date of termination; and we may deny you access to our services.
Governing Law and Jurisdiction

Arbitration
At our sole discretion, we may require you to submit any dispute arising from these Terms of Use or use of the Website, including disputes concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Commercial Rules of Arbitration of the American Arbitration Association applying the laws of the State of New York.
Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM WILL BE PERMANENTLY BARRED.
Waiver and Severability
No waiver by us of any term or condition in these Terms of Use will be deemed a continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision will not constitute a waiver of such right or provision.

Entire Agreement
These Terms of Use, together with our Privacy Policy [and any Business Associate Agreement, Provider Agreement, or other terms we provide], constitute the sole and entire agreement between you and us regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
